CORPORATE GOVERNANCE AND COMPLIANCE
In order to ratify the principles of ethics, transparency and excellence that BMW Group intends to achieve, BMW Italia Retail S.r.l. (a Company resulting from the merger through absorption between BMW Milano S.r.l. and BMW Roma S.r.l.) has decided to adopt a dedicated Code of Ethics, by following the highest standards of Corporate Governance, aimed at the best company management and organization, and complying with the principles contained in the group’s Legal Compliance Code and the United Nations Global Compact, also invoked in the BMW Group’s Sustainable Value Report.
With the Code of Ethics, BMW Italia Retail S.r.l. (a Company resulting from the merger through absorption between BMW Milano S.r.l. and BMW Roma S.r.l.) intends to adopt principles of legality, fairness, transparency and verifiability, on which to base its management, to determine important reflections on the business reputation, i.e. the capability of being publicly acknowledged as a socially responsible, reliable and correct company.
As a matter of fact, the good results of a Company’s entrepreneurial spirit are also necessarily linked to the good relationship with Shareholders, Collaborators, Suppliers, Customers and the Economic reality in general and, therefore, a fundamental role is played by the policy on transparency and clarity adopted both in the course of social activities and in the public disclosure.
For this purpose, BMW Italia Retail S.r.l. (a Company resulting from the merger through absorption between BMW Milano S.r.l. and BMW Roma S.r.l.) has adopted the Code of Ethics, available in this section, which lays out principles and binding rules of conduct for all Collaborators and Partners, who are then required to strictly adhere to and respect it.
The principles on which the Code of Ethics is based are also the foundation of the organization, management and control model adopted by BMW Italia Retail S.r.l. (a Company resulting from the merger through absorption between BMW Milano S.r.l. and BMW Roma S.r.l.), to guarantee a reasonable prevention of crimes envisaged by the Legislative Decree of 8th June 2001, no. 231.

Finally, BMW Italia Retail S.r.l. promotes a company culture characterized by ethical and correct behaviours; for this reason, it encourages all the Model’s recipients, including Partners and Suppliers, to report any irregularities.
All the Model recipients can submit the Reporting, should they in good faith believe that there might be misconduct or violations of the Model or Code of Ethics they have heard of on account of the functions performed. The Reporting is intended to be made in good faith when based on a reasonable belief on the basis of matters of fact and circumstance.
